1. Acceptance of Terms

By accessing or using the Phoenix Therapy website at phoenixtherapy.com (the "Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Site. We may update these Terms from time to time, and your continued use of the Site constitutes acceptance of any changes.

2. Description of the Site

The Site is a marketing and informational website for Phoenix Therapy, an electronic health record (EHR) platform built for therapy teams in long-term care. The Site provides information about our product, allows visitors to request product demonstrations, and collects contact information through forms powered by HubSpot.

The Site does not provide access to the Phoenix Therapy application itself, clinical services, or medical advice.

3. Artificial Intelligence Features

Phoenix Therapy incorporates artificial intelligence ("AI") capabilities including, but not limited to, automated chart auditing, diagnosis code validation, clinical narrative improvement suggestions, payment denial risk detection, and AI-assisted analytics dashboards. The following terms apply to all AI-powered features:

Assistive Tool, Not a Replacement

AI features are designed to assist licensed healthcare professionals — not replace them. All clinical documentation is authored by therapists. AI provides recommendations, flags, and suggestions that must be reviewed and accepted or rejected by a qualified clinician before any action is taken.

No Medical Advice

AI outputs do not constitute medical advice, clinical diagnosis, or treatment recommendations. Phoenix Therapy's AI features are administrative and compliance-oriented tools. Clinical decision-making remains the sole responsibility of the treating clinician.

Accuracy and Limitations

While we strive for accuracy, AI-generated outputs — including audit findings, code validation results, and narrative suggestions — may contain errors, omissions, or false positives. Users are responsible for verifying all AI outputs before relying on them for clinical, billing, or compliance decisions. Phoenix Therapy does not guarantee that use of its AI features will prevent claim denials, audit findings, or regulatory non-compliance.

Data Use for AI

AI features process clinical and administrative data that users input into the platform. This data is used solely to provide the AI-powered services described herein and to improve the accuracy and performance of those services. We do not sell data processed by AI features or use it to train general-purpose AI models outside of Phoenix Therapy. For details on data handling, see our Privacy Policy.

Continuous Improvement

AI models and algorithms may be updated, refined, or replaced over time as part of our ongoing product development. These changes may affect the behavior, accuracy, or availability of AI features. We will endeavor to communicate material changes, but AI feature behavior may vary between updates.

4. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, state, or local law
• Submit false, misleading, or fraudulent information through any form on the Site
• Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems
• Introduce viruses, malware, or other harmful material
• Use automated tools (bots, scrapers, crawlers) to access or collect data from the Site, except as permitted by our robots.txt file
• Interfere with or disrupt the integrity or performance of the Site

All content on the Site — including text, graphics, logos, icons, images, software, and design — is the property of Phoenix Therapy or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any content from the Site without our prior written consent, except for personal, non-commercial viewing.

6. Demo Requests and Communications

When you submit a demo request or other inquiry through the Site, you consent to being contacted by Phoenix Therapy at the email address and phone number you provide. You may opt out of marketing communications at any time by following the unsubscribe instructions in our emails or by contacting us at hello@phoenixtherapy.com.

7. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Site, you consent to the practices described in the Privacy Policy.

Phoenix Therapy does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Product features, screenshots, and descriptions on the Site are for informational purposes and may not reflect the final product.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Phoenix Therapy and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Site
• Any conduct or content of any third party on or linked from the Site
• Any content obtained from the Site
• Unauthorized access, use, or alteration of your information

11. Indemnification

You agree to indemnify, defend, and hold harmless Phoenix Therapy, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Nashville, Tennessee, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
